Scope and subject matter 1.1 These terms of use govern your use of the website medilink-care.ch and of the password-protected "Dossier" area. The operator is MediLink Care Management AG, Gewerbestrasse 6, 6330 Cham, Switzerland (hereinafter "MediLink"). 1.2 By using the website you agree to these terms. By entering the access word for the Dossier you additionally agree to section 3. 1.3 MediLink is being built. The "MediLink" service is not yet available. The website provides information about a project; it is not an offer and not an assurance that a service will be provided at any particular time or with any particular features. 2. Permitted use 2.1 You may use the website for information purposes. You must not misuse it, in particular you must not impair its availability, circumvent access controls or access it automatically to an extent going beyond ordinary reading. 2.2 All rights to content, texts, images, trade marks, logos and design belong to MediLink or to the rights holders named. Any use going beyond viewing and making individual copies for your own non-commercial use requires our prior written consent. 3. Confidential "Dossier" area 3.1 The Dossier contains trade secrets, in particular financial figures, planning assumptions, the terms of a financing round, information on intended cooperations and risk assessments. 3.2 Anyone using the access word undertakes to treat all information accessible in the Dossier as confidential, to use it exclusively to assess a possible cooperation or investment and, without our prior written consent, neither to make it accessible to third parties nor to reproduce, publish or use it for their own business purposes. 3.3 The access word is personal and must not be passed on. You will ensure that third parties do not obtain knowledge of the contents through your access. 3.4 The obligation under section 3.2 does not apply to information that is generally known or becomes generally known without your involvement, that was demonstrably known to you beforehand without any duty of confidentiality, or whose disclosure you are required to make by law or by an authority. In the latter case you will inform us beforehand to the extent permitted. 3.5 The obligation under section 3.2 applies for five years from the last access. 3.6 A breach of section 3 may give rise to civil claims and to prosecution under Art. 162 of the Swiss Criminal Code. 4. No assurance, availability 4.1 The website and the Dossier are provided without assurance, as they stand at the time. We do not warrant that the content is accurate, complete or current, that the website is available without interruption or free of errors, or that it is suitable for any purpose you pursue. 4.2 Forward-looking statements, in particular planned figures, timelines and described product features, are assessments as at the time of publication. They are not an assurance and not a forecast you may rely on. 4.3 We may change, restrict or discontinue the website and the Dossier at any time. 4.4 The website does not replace an emergency call and does not replace medical, legal or insurance advice. Liability 5.1 We are liable without limitation for damage caused by unlawful intent and gross negligence, and in all other cases in which the law does not permit a limitation, in particular personal injury. 5.2 Otherwise our liability for slight negligence is excluded to the extent permitted by law. Excluded in particular are indirect damage, consequential damage, loss of data, lost profit and third-party claims. 5.3 Where liability for slight negligence nonetheless exists, it is limited to CHF 1'000 per event and CHF 5'000 per calendar year. 5.4 We are not liable for the content of linked third-party websites. Responsibility lies solely with their operators. 5.5 Section 5.1 is reserved in every case. The limitations under sections 5.2 and 5.3 do not apply to the extent that they conflict with that section. 6. Indemnification 6.1 If you breach these terms of use, in particular section 2 or section 3, you will indemnify MediLink against third-party claims arising from this, including the reasonable costs of a legal defence. 6.2 The indemnification does not apply to the extent that the claim is attributable to unlawful intent or gross negligence on the part of MediLink. 7. Suspension and termination 7.1 We may block access to the Dossier at any time and without stating reasons, change the access word and close the area. There is no entitlement to access. 7.2 In the event of a breach of section 2 or section 3 we will block access with immediate effect. 7.3 Following suspension or termination you will, at our request, delete or destroy all copies of and extracts from the Dossier and confirm this in writing on request, unless you are required by law to retain them. 7.4 Sections 3, 5, 6 and 8 continue to apply after termination. 8. Governing law and place of jurisdiction 8.1 Swiss law applies, excluding the conflict-of-law rules of private international law and the United Nations Convention on Contracts for the International Sale of Goods. 8.2 The exclusive place of jurisdiction is Cham ZG, Switzerland. 8.3 If you are a consumer, the mandatory places of jurisdiction under Art. 32 of the Swiss Civil Procedure Code are reserved. Section 8.2 does not restrict your right to sue at your place of residence. 9. Amendments We may amend these terms of use at any time. The version published on this website applies.
